In the event any dispute arises between Company and any Person, the dispute shall be subject to “Alternative Dispute Resolution” (hereinafter referred to as ADR). Under the provisions of this ADR policy and in order to ensure the speedy, impartial resolution of all disputes between the parties which related to, or arise from the party’s relationship and/or operational decisions, the parties hereby agree to forego litigation. The disputing party shall be obligated to provide (within ten business days of the event giving rise to the dispute) written notification to the non-disputing party of the particulars of the dispute. The non-disputing party shall be required to respond to the disputing party’s allegations within ten business days receipt of the disputing party’s notification, then the parties shall submit to binding arbitration to resolve the dispute between the parties. The parties to the arbitration will bear the costs equally. Any binding arbitration procedures shall be conducted in accordance with arbitration rules promulgated by the American Arbitration Association (hereinafter referred to as “AAA”), but an AAA Arbitrator is not mandated by this provision. The final decision of the arbitrator may be appealed only to a judge in a court of competent jurisdiction. Said appeal shall not allow for live testimony and may only be based on written documentation and transcripts of the arbitration proceedings provided to the judge.

The owner and operations of SITTERNEEDED are based in the state of Texas and the owners of SITTERNEEDED do not make nor do they intend to make any representations that the materials and information available on any SITTERNEEDED website are suitable for use in other locations. Each individual user is responsible for complying with any applicable local laws. By placing a website on the World Wide Web, SITTERNEEDED does not intend to purposely avail itself to any other jurisdiction nor does it entitle SITTERNEEDED to any benefits or privileges in any other jurisdiction.

The term Member as used herein, refers to an authorized user who has joined SITTERNEEDED as a member seeking to request a Sitter.

The term Sitter as used herein, refers to an authorized user who is an employee of SITTERNEEDED hired as an on-demand babysitter.

The term Authorized User as used herein, refers to (i) individuals seeking employment as a sitter and (ii) individuals seeking to become members in order to utilize sitter services from SITTERNEEDED; other users are not permitted.

The term Company means SITTERNEEDED, its successors and assigns, and all related entities and franchisees.

The term Person refers to and includes individuals as well as business entities of any and every kind.

Any membership purchases or sitter requests made through a SITTERNEEDED website are governed by this Terms of Use Policy and any other policies or rules that are specific to individual events. Once you have submitted payment for a membership, your membership will be final. SITTERNEEDED does not issue any refunds. Your membership will be automatically extended for successive renewal periods of the same duration as the original term at the then-current membership rate.  However, to change or cancel your membership at any time, please contact us directly. If you cancel your membership, you may use your membership until the end of your then-current term.

SITTERNEEDED is a membership and sitter assignment website and operates by employing student nurses. As a result, the Company works to meet a level of quality and safety of the employees and sitter assignments. By continuing to use this website for membership and the benefits that are associated with said membership, you are hereby agreeing to partner with SITTERNEEDED and agree to communicate any inconvenience, or otherwise dissatisfaction that you may suffer arising from or related to a sitter assignment in which you accept and participate directly to the SITTERNEEDED office in order to adequately and positively resolve as soon as possible.

SITTERNEEDED works to match sitter availability and sitter requests. Due to the uncertain nature of perfect matches (including but not limited to factors of date/time, location, sitter experience, etc.), SITTERNEEDED does not provide any assurance or guarantee of sitter assignments to employees/sitters; likewise, SITTERNEEDED does not provide any assurance or guarantee that Members seeking Sitters will be successful in doing so for ALL requests. If SITTERNEEDED is unable to confirm a Sitter for a Member request that was requested with at least seven (7) days advanced notice, SITTERNEEDED will provide a good faith offer of either 10% off the next confirmed sitter visit OR a One Week extension in membership.


Nonsolication: Business Relationships and Goodwill

Member acknowledges and agrees that SITTERNEEDED is the employer of all Sitters and has therefore provided specialized training and has an established employer/employee relationship. Member acknowledges and agrees that this creates a special relationship of trust and confidence between the Company, Employee and the Company’s current and prospective customers (Members) and investors. Member further acknowledges and agrees that there is a high risk and opportunity when utilizing Sitter services to misappropriate the relationship and goodwill existing between the Company and the Company’s current and employees. Members therefore acknowledges and agrees that it is fair and reasonable for the Company to take steps to protect itself from the risk of such misappropriation. Consequently, Members agree to the following non-solicitation covenants:

  • Scope of Non-solicitation Obligations
  • Member acknowledges and agrees that Sitters provided by SITTERNEEDED are employees of SITTERNEEDED; and therefore, members may not directly solicit or provide babysitting work to Sitters in which SITTERNEEDED is not included in the request and/or services.
  • Member acknowledges and agrees that the period of six (6) months following the cessation of the final membership with the Company or its successor for any reason will constitute the non-solicit and non-divert period (the “Non- Interference Period”).


  1. Entire Agreement. This Agreement constitutes the entire agreement between the Company and Member with respect to the subject matter(s) hereof and after, superseding all previous or contemporaneous, whether oral or written, communications, representations, understandings, or agreements relating to this subject.
  2. Binding Agreement. This Agreement shall inure to the benefit of and be binding upon Member, his/her heirs and personal representatives, and the Company, its successors and assigns.

SITTERNEEDED’s Privacy Policy is incorporated by reference into this Terms of Use Policy. The SITTERNEEDED Privacy Policy describes our use, in conjunction with your responsibility, for the protection of your personal information. By continuing to use the SITTERNEEDED website, you also agree to the terms and conditions of the SITTERNEEDED Privacy Policy.

Termination of Your Account

SITTERNEEDED reserves the right, in their sole discretion, to terminate your account for any violation of the SITTERNEEDED Terms of Use Policy or the SITTERNEEDED Privacy Policy. Termination will not affect any care assignments that you have already confirmed through a SITTERNEEDED website; however, it will prevent you from requesting or confirming any future care assignment requests.



No consent or waiver, express or implied, by SITTERNEEDED with respect to the strict enforcement of any provision included in this Terms of Use Policy or other incorporated document will be deemed or construed to be a consent or waiver with respect to any future enforcement of the same provision or any other provision of this Terms of Use Policy or any other incorporated document.

Should any of the terms, conditions or provisions of this Terms of Use Policy or any other incorporated document be held to be illegal, invalid or unenforceable by any court of competent jurisdiction, such terms will be deemed to be separable in such jurisdiction and the legality, validity and enforceability of the remaining terms, conditions or provisions will not be affected thereby. No course of dealing between you and SITTERNEEDED will be construed to have modified, supplemented, or amended this Terms of Use Policy or any other incorporated document.

SITTERNEEDED offers membership services to help its members coordinate and maintain quality care. SITTERNEEDED’s Privacy Policy (“Privacy Policy”) is designed to explain the information we collect and how we use it to provide our services and give members a better experience. 1. When registering as a member

When you register directly through, we will collect and store the information that you provide to us on our online registration forms. This may include, among other information, the following about you and each family member in your household:

  • birthday
  • phone number
  • applicable health information such as allergies, etc.

Some users may have the opportunity to register with by connecting through Facebook’s application programming interface (API). Please see Section below to learn about the information we access, collect and store if you register with through Facebook.

If you register for a membership or utilize sitter services that requires you to pay a fee, will also collect your payment method details, such as account number, expiration date, and security code, as well as your billing address, for payment purposes.

2. When requesting a sitter

If you are a member submitting a sitter request, we collect and store all of the additional information that you provide to us on your request. This may include, among other information:

  • Date/time
  • Number of children
  • Special instructions

3. By telephone

Both Site Visitors and Members may provide information to SITTERNEEDED when they contact our office by telephone. For example, if you call SITTERNEEDED to discuss care options over the phone, we will collect and store all of the information you chose to provide to us, including but not limited to financial information, information about the care you or your loved one needs, health information about you or the loved one you seek care for, your contact information, etc. If you provide information about someone other than yourself, you represent that you have authority to do so.

4. Log files, IP addresses and information about your computer and mobile device

When you visit the Site, receives the internet protocol (“IP”) address of your computer (or the proxy server you use to access the internet), your computer operating system, the type of web browser you are using, and browser language. If you are using a mobile device, may also receive unique device identifiers and other information about your mobile or other device(s), and mobile operating system. We may correlate this information with other information we have about you. We may also automatically collect information related to the ways in which you interact with the Site and the Services, such as referring and exit pages, URLs, platform type, the number of clicks, domain names, landing pages, pages and content viewed (including ads viewed) and the order of such views, the amount of time spent on particular pages, the date and time you use the Services, error logs, and other similar information.

5. Cookies and other technologies

A cookie is a tiny data file that resides on your computer, mobile phone, or other device, and allows us to recognize you when you return to the Site using the same computer (or mobile device) and web browser. Like most websites, we and our service providers use cookies, and tracking pixels to track Site usage and trends, evaluate the effectiveness of our ads both on and off our Site, customize your experience on the Site and improve the quality of our Services. For example, using these technologies we can determine, among other things, which pages of our Site you visit and which ads you click on. In general, the information we collect is used (1) to improve our Services and enhance your experience with SITTERNEEDED, (2) to enable us to provide a safer community for all of our Members, and (3) to help us communicate with you. For example, we may use your information to:

  1. register and service your account;
  2. include in Sitter profiles, Member profiles;
  3. contact you in response to questions and solicit feedback and input from you;
  4. notify you about new features of the Services, special events, or products, services, and special offers, or other information that we believe will be of interest to you via email, SMS messages, or other media or networks;
  5. connect Members with Sitters that appear to meet their needs and preferences;
  6. verify information you provide us as well as the representations and warranties you make to us in the Terms of Use or on the Site;
  7. perform analytics and research aimed at improving the accuracy, effectiveness, usability, or popularity of the Services;
  8. generate and review reports and data about our user base and usage patterns, including to improve the content and features of the Services or develop new Services;
  9. otherwise help protect the safety and integrity of the Site and SITTERNEEDED users; and
  10. personalize promotional messages or content on the Site, via email or other ads on or third-party sites.

We may aggregate and/or de-identify information collected by the Site, the Services, or via other means so that the information is not intended to identify you. Our use and disclosure of aggregated and/or de-identified information is not subject to any restrictions under this Privacy Policy, and we may disclose it to others without limitation for any purpose.

In addition to using the information collected by for the purposes described above, we may also share your information with various third parties, as described below. A.  With All Site Visitors and Members

If you are a Member or a Sitter, in order to increase your chances of finding a sitter or finding a care assignment, we share with Sitters the information that is included in Member profile and related registration documents. Financial information is NOT shared.

We may display personal testimonials of Members and other endorsements on our Site or in other marketing materials. These testimonials or endorsements may include information such as the Member’s first name, first initial of last name and city.

B.  As required by law or for reasons of safety

We may disclose your information when we believe in good faith that such disclosure is appropriate in order to investigate, prevent, or take action regarding possible illegal activities, suspected fraud, situations involving potential threats to the health or physical safety of any person, violations of this Privacy Policy, the Terms of Use, , and/or to protect the rights and property of SITTERNEEDED, our employees, users, and the public. This may involve the sharing of your information with law enforcement, government agencies, courts, and/or other organizations.

C.  With Your Consent

We also may share your information with a third party if you consent to the sharing.

D.  Business transactions

In the event we go through a business transition such as a merger, acquisition by another company, or sale of all or a portion of our assets, your information may be among the assets transferred. By becoming a Member, you are consenting to receive certain email communications from us, such as special offers, tips and advice, notifications of new Sitters in your area, customer surveys and administrative notices.

You have the option to opt out of receiving certain other emails from SITTERNEEDED by unsubscribing to the communication via any email received.

V.  Changing or Removing your Personal Information and Closing your Account

You can update certain of your information by logging into your account and accessing your user and family profile.

If you cancel your SITTERNEEDED membership, we have no obligation to retain your information, and may delete any or all of your account information without liability. However, we may retain information related to you if we believe it may be necessary to prevent fraud or future abuse, or for legitimate business purposes, such as analysis of aggregated, de-identified information, account recovery, auditing our records, enforcing our rights and obligations under our agreements, or if required by law.

VI.  Collection of Information from Children

SITTERNEEDED Site and Services are not intended for individuals under the age of 14. Moreover, if we become aware that we have collected personal information (as defined by the Children’s Online Privacy Protection Act) from children under the age of 13, we will take reasonable steps to delete it as soon as practicable.

VII.  How We Protect Information

We have implemented a variety of administrative, technical, and physical security measures to protect against the unauthorized access, destruction, or alteration of your information. These safeguards vary based on the sensitivity of information that we collect, process, and store and the current state of technology.
